Circular 39 of 2025: Retraction of Exposition Document – Medshield Medical Scheme and Fedhealth Medical Scheme

The Registrar of the Council for Medical Schemes (CMS) hereby announces the formal retraction of the Exposition Document dated 23 June 2025, regarding the proposed amalgamation between Medshield Medical Scheme (Medshield) and Fedhealth Medical Scheme (Fedhealth). The CMS received retraction letters from Medshield on 6 November 2025 and Fedhealth on 11 November 2025.

The decision follows updated actuarial modelling and financial projections, which materially differ from those originally submitted. The CMS notes Medshield’s assessment that the amalgamation is no longer in the best interest of its members.

The Registrar acknowledges and appreciates the cooperation of all parties involved during the review of the proposed merger.

Accordingly, this matter is considered closed from both a submission and review perspective.
